Oncilo User Agreement
1. Acceptance of terms
This User Agreement (“Agreement”) is between you andWITHENAI LIMITED. By creating an account, accessing Oncilo, or using the Oncilo mobile app and its related services, you agree to this Agreement and acknowledge thePrivacy Policy. If you do not agree, do not use Oncilo.
2. Eligibility
You must be at least 13 years old and meet the minimum age required to consent to an online service where you live. If you have not reached the age of legal majority, a parent or legal guardian must review and agree to this Agreement for you. You may not use Oncilo if applicable law prohibits you from receiving the service.
3. Accounts and security
- Provide accurate information and keep it reasonably current.
- Keep your login credentials confidential and do not share accounts.
- Notify us promptly atsupport@oncilo.ai if you believe your account has been accessed without authorization.
- You are responsible for activity performed through your account to the extent permitted by law.
4. The Oncilo service
Oncilo lets users create and manage fictional characters, personas, lorebooks, writing instructions, and conversations, and use AI models to generate or transform content. Features, model availability, limits, and supported platforms may change over time.
We may introduce, modify, suspend, or discontinue features when reasonably necessary for security, legal compliance, product changes, provider availability, or service operations. Where practical, we will give notice of a material discontinuation.
5. AI-generated content
AI output is generated probabilistically. It may be inaccurate, incomplete, offensive, repetitive, or unsuitable for your purpose. It does not represent our views and must not be treated as professional legal, medical, financial, or other expert advice.
You are responsible for reviewing output before relying on, sharing, or publishing it and for ensuring that your use complies with law and third-party rights. Similar or identical output may be generated for other users. We do not guarantee that output is unique or eligible for intellectual-property protection.
6. Your content
As between you and us, you retain any rights you have in content you submit to Oncilo. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, format, display, and process that content only as reasonably needed to operate, secure, support, and improve the service, comply with law, and fulfill your requests. This licence ends when the content is deleted from active systems, subject to legal retention and ordinary backup cycles.
You represent that you have the rights and permissions needed to submit and use your content and that doing so will not violate law, confidentiality obligations, or another person’s rights.
7. Acceptable use
You must not use Oncilo to:
- break the law or facilitate unlawful conduct;
- exploit, sexualize, groom, endanger, or otherwise harm a minor;
- threaten, harass, defame, impersonate, or violate another person’s privacy or rights;
- upload malware, disrupt the service, probe for vulnerabilities, or bypass access, safety, billing, or usage controls;
- access another account without permission, scrape the service, or use automated means except through interfaces we authorize;
- infringe intellectual-property or contractual rights, or submit confidential information without authorization; or
- misrepresent AI output as authentic human communication when that would deceive or harm others.
We may investigate suspected violations and remove content, restrict features, or suspend an account when reasonably necessary to protect users, the public, providers, or the service.
8. Crystals and purchases
Oncilo may use “crystals” to measure and pay for model usage. Crystals are a limited, revocable licence to use eligible Oncilo features. They are not money, stored value, or property; cannot be transferred or redeemed for cash; and have no value outside Oncilo.
- Prices, amounts, taxes, and model rates are shown before the relevant purchase or use.
- Purchased crystals do not expire. Promotional crystals may expire only if an expiry date is clearly disclosed when they are granted. Promotional crystals are used before purchased crystals, and promotional crystals with an earlier expiry are used first.
- Purchases made through Apple App Store or Google Play are processed by that store and are also governed by its payment and refund terms. Request a refund through the store used for the purchase.
- Except where law or the applicable store requires otherwise, consumed crystals and promotional crystals are not refundable.
We may correct a balance affected by fraud, chargeback, technical error, or an invalid redemption. We will not remove valid purchased crystals merely because this Agreement changes.
9. Oncilo and service rights
Oncilo, including its software, design, brand, documentation, and service technology, is owned by us or our licensors and is protected by applicable laws. Subject to this Agreement, we grant you a personal, limited, non-exclusive, non-transferable, revocable right to use the service for its intended purpose.
No rights are granted except those expressly stated here. You may not copy, sell, sublicense, reverse engineer, or create derivative works of the service except to the extent a restriction is prohibited by law.
10. Third-party services
Oncilo relies on services such as AI model providers, app stores, email delivery, hosting, and storage. A third-party service may be governed by its own terms and privacy policy. We are not responsible for a third party’s independent service, but remain responsible for our obligations under applicable law.
11. Suspension, termination, and deletion
You may stop using Oncilo at any time. You may permanently delete your account through the Delete Account option in the mobile app or the account deletion page. If you need help, emailsupport@oncilo.aifrom your registered email address.
We may suspend or terminate access if you materially or repeatedly violate this Agreement, create security or legal risk, fail to pay an amount due, or use the service in a way that could harm others. Where appropriate, we will provide notice and an opportunity to address the issue. We may act immediately for serious abuse, security incidents, legal orders, or risks to minors or other persons.
12. Disclaimers
To the maximum extent permitted by law, Oncilo is provided “as is” and “as available.” We do not guarantee uninterrupted availability, preservation of every item of content, error-free operation, or that any AI output will be accurate, unique, safe, or suitable. Nothing in this Agreement excludes warranties or rights that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by law, we and our directors, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, business, goodwill, data, or use, arising from Oncilo or this Agreement.
Our total liability for claims relating to the service will not exceed the greater of the amount you paid to Oncilo during the 12 months before the event giving rise to the claim or HKD 800. These limits do not apply to liability that cannot be limited by law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence where such an exclusion is prohibited.
14. Governing law and disputes
This Agreement is governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. The courts of Hong Kong have non-exclusive jurisdiction over disputes. This does not deprive you of mandatory consumer rights or the right to bring a claim in another forum where applicable law requires it.
Before filing a formal claim, contactsupport@oncilo.ai and describe the issue so we can try to resolve it informally.
15. General terms
If a provision is unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver. You may not transfer this Agreement without our consent; we may transfer it as part of a merger, reorganization, financing, or sale of the relevant business. This Agreement and the Privacy Policy form the entire agreement between you and us concerning Oncilo, except for additional terms shown for a specific feature or purchase.
16. Changes to this Agreement
We may update this Agreement to reflect changes to Oncilo, providers, law, or risk. We will publish the revised version and update the effective date. If a change materially affects your rights, we will provide additional notice where required. Continuing to use Oncilo after the effective date means you accept the revised Agreement.
